Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the Payroll Shack developer platform, APIs, documentation, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms.
1. The service
Payroll Shack provides payroll-related APIs and tools for software integrators. Features, pricing, rate limits, and availability may change. We may modify or discontinue parts of the Platform with reasonable notice where practicable.
2. Your responsibilities
You are responsible for safeguarding API keys, complying with applicable laws (including tax, employment, and privacy regulations), and ensuring that data you submit through the Platform is accurate and that you have the right to use it. You must not misuse the Platform, attempt unauthorized access, or resell access in violation of your agreement with us.
3. No warranty — inaccuracies disclaimer
THE PLATFORM, INCLUDING ALL API RESPONSES, PAYROLL CALCULATIONS, TAX TABLES, DOCUMENTATION, EXAMPLES, AND INTEGRATION GUIDANCE, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
Payroll Shack is not liable for any inaccuracies, errors, omissions, or miscalculations in payroll outputs, tax withholdings, remittances, compliance results, or any other data returned by the Platform. Tax rules, rates, and regulatory requirements change frequently and vary by jurisdiction. You must independently verify all results before relying on them for payroll, tax filing, or employment decisions.
4. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYROLL SHACK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability for any claim arising out of these Terms or the Platform shall not exceed the greater of (a) the amounts you paid to Payroll Shack for the Platform in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100).
5. Billing & credits
Prepaid credits and subscriptions are billed as described on the billing page. Fees are generally non-refundable except where required by law. Unused credits may expire or be subject to policy changes disclosed on the Platform.
6. Termination
You may stop using the Platform at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Platform or other users.
7. Governing law
These Terms are governed by the laws applicable in the jurisdiction where Payroll Shack operates, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction unless otherwise required by mandatory local law.
